Term The term of this Agreement shall commence May 14,2004 and shall continue thereafter until May 16,2004 ("Term"). Warranty Supplier agrees that any and all goods, including foodstuffs and premiums, Supplier or its agents provide to Home Depot U.S.A., Inc., its affiliates, including EXPO Design Center (collectively, "Home Depot"), and its customers as part of in-store promotional events (the "Events") will be of good quality, merchantable and fit for their intended purpose. Further, Supplier warrants and represents that all goods, services (including, without limitation, the preparation of foodstuffs, product demonstrations, etc.), and other materials it provides to EXPO Design Center or its customers as part of an in-store promotional event will comply with all applicable federal, state, and local laws, ordinances, codes, rules, and regulations. Indemnity Supplier agrees that it shall indemnify, defend and hold Home Depot (and its affiliates, subsidiaries, associates, officers and agents) harmless against and from any and all third party claims, lawsuits, judgments, losses, civil penalties or actions, costs, liabilities, damages, and expenses (including reasonable attorney's fees) incurred or to be incurred, which may be made or brought against Home Depot by any person or entity arising or alleged to have arisen out of: a) negligence or willful misconduct of Supplier in performance hereunder; b) any personal injury (including death) or property damage that resulted from Supplier's act or omission; c) product liability arising out of the use of any of Supplier's products or services which have appeared at the Events; or d) any breach by Supplier of any representation or warranty or other provisions of this letter. Insurance Supplier shall maintain: (a) Worker's Compensation Insurance for all of its employees performing promotional services to the full extent required by the laws of the states in which any promotional services are being performed; and (b) Commercial General Liability Insurance to cover its obligations hereunder. Compensation In exchange for participation in the Kitchens That Cook event, EXPO Design Center agrees to compensate each Supplier as follows:
